Acceptance
The following is a statement of The Robert Allen Group's conditions of sale. Unless buyer advises to the contrary by separate letter accompanying this order, any order issued shall be an acceptance of the conditions of sale as set forth below. Any proposal for additional or different terms or any attempt by buyer to vary in any degree with any of these terms in this order is hereby objected to and rejected. Buyer shall be deemed to assent to these terms and conditions of sale by issuance of an order or by accepting delivery of any fabrics ordered from The Robert Allen Group, unless The Robert Allen Group is advised to the contrary in writing.

Minimum Orders
Minimum order requirements are one yard for fabrics. Incremental yardage is 1/4 yard. Orders received for cuts other than 1/4 yard will be rounded up to the next 1/4-yard increment and billed at that amount.

Delivery
In-stock cut yardage orders are normally shipped within 24 hours from receipt of a credit-approved order.

Returns and Claims

• No merchandise may be returned without our prior approval and instruction.
• No upholstery fabric under 5 yards returned.
• No drapery fabric under 9 yards returned.
• All authorized returns within 30 days will be subject to freight in/out, plus handling charges.
• All authorized returns after 30 days but within 60 days will be subject to a 25% restocking charge, plus in/out freight and handling.
• All authorized returns for "damaged" fabric will be inspected.
• The Robert Allen Group reserves the right to assess freight, handling and restocking charges on unsubstantiated claims.
• No returns after goods are cut or processed.
• No returns after 60 days.

Reserves
Fabrics placed on reserve will be held for 14 calendar days before the Reserve is cancelled.

Credit Approval
Shipment shall at all times be subject to the approval of the The Robert Allen Group Credit Department, and The Robert Allen Group may at any time decline to make any shipment, except upon terms and conditions satisfactory to The Robert Allen Group.

Payment Terms
Subject to the provisions of credit approval above, terms of payment are net 30 days from the date of the invoice. All orders are subject to the absolute right of The Robert Allen Group to require of the purchaser payment of all or any part of the purchase price in advance of delivery.

The Robert Allen Group accepts American Express®, Optima®, Master Card® and Visa®.

Remedies
In any action for the collection of, or to enforce payment of, all or part of the purchase price of the fabrics sold to buyer, The Robert Allen Group shall be entitled to recover all reasonable collection fees, attorney's fees and costs, to the extent provided for by law.

Shipping
All shipments are made F.O.B. Robert Allen Warehouse.
All orders are subject to shipping and/or handling charges.

Prices
This online price list replaces all prior price lists and is subject to change without notice.

Force Majeure
The Robert Allen Group shall not be liable for delay or failure in performance arising from any cause not within its control

Copyright
This online price list, or any portion of it, may not be reproduced without our express written permission.

Finishes
Some collections contain product that is hand painted. Slight variances in color may occur.

Offset
Any indebtedness of buyer to The Robert Allen Group may at The Robert Allen Group's option be credited against amounts owed by The Robert Allen Group to buyer. Money received by The Robert Allen Group from the buyer may be applied to any past due invoice or account of the buyer.

Advertising
All advertising of The Robert Allen Group products must be dignified, tasteful and professional. Unauthorized use of our trademarks, without prior written approval by The Robert Allen Group, is prohibited.

Disclaimer of Warranties
Unless otherwise expressly indicated in writing, The Robert Allen Group makes no warranties, express or implied, including, but not limited to, any representations or warranties with respect to fitness for a particular purpose or merchantability of its fabrics.

In the event of The Robert Allen Group's liability, whether based on contract, tort, negligence, strict liability or otherwise, buyer's exclusive remedy will be limited to replacement by The Robert Allen Group of any defective fabrics for which claim is made by the buyer. The Robert Allen Group expressly disclaims any liability to the buyer, its customers or to the users of its products, for special or consequential damages, including damage to or loss of other property or equipment, personal injury, loss of profits or revenues or cost or other damage, loss or expense from any cause whatsoever, arising out of or in any way connected with the sale or use of its fabric. Any action must be brought within one year from the date of sale. Some states do not allow the exclusion or limitation of consequential damages or the limitation on the time this warranty applies, so these limitations may not apply to you.

Color will vary from piece to piece.

Fading
Fabrics not guaranteed against fading/shrinkage through exposure to sun or atmosphere.

Application
Fabric displayed in sample books and memo samples represents the intended application of the face. Any deviation is at customer's own risk.

Roll Direction
The Robert Allen Group does not guarantee roll direction. Please confirm face, back and intended application direction of the fabric with the sample and/or memo sample before manufacture.

Topical Treatments
Caution: Adding topical treatments to any fabric may alter the performance, quality, color or hand. The Robert Allen Group will not accept responsibility for any fabric treated beyond regular finishes applied at the mill level.

Climatic conditions and humidity in the environment may cause a fabric to contract or expand after installation. We recommend you allow sufficient fabric for these environmental changes. A 2-3% residual shrinkage is reasonable.

Regulatory Compliance
A continuing guarantee under the Textile Fiber Products Identification Act is filed with the Federal Trade Commission.

In accordance with the provisions of the Flammable Fabrics Act as amended on May 4, 1967, this merchandise is not intended for use in the Manufacture of Wearing Apparel.

Governing Law
This transaction shall be governed and enforced in accordance with the laws of the state of Massachusetts.

Memo Samples
All memo samples are available on a loan basis upon request. Samples must be returned within 30 days. Please call our toll-free number if an extension is desired. All non-returned samples will be charged to your account.

Sample Books
All sample books sent from our distribution center are subject to freight charges. Sample books, unless purchased by the buyer, remain the property of The Robert Allen Group. Possession of price list and catalog prints does not necessarily constitute authority to purchase, and the furnishing of this catalog does not constitute an offer by the company to sell any of the items contained herein.
